https://www.gameon.io/ (the “Website”) is a website operated by MaGESpire Limited (“MaGESpire”) to organize and host a conference (“Conference”) in respect of the gaming, art, music and entertainment industries. These Terms and Conditions will apply when you use our Website or participate in the conference.

Before proceeding, you must read and agree to these Terms and Conditions. If you do not agree to these Terms and Conditions, then you must not use our Website or attend the Conference. By proceeding to registration for the Conference, you will be deemed to have read, agreed and accepted these Terms and Conditions.

1.         Definitions

 

“Intellectual Property Rights” means all intellectual property rights including patents, trademarks, design rights, copyrights, database rights, trade secrets and all rights of an equivalent nature.

 

“NFT” means non-fungible tokens, a type of cryptocurrency.

 

“NFT Airdrop Reward Scheme” means the reward scheme to be facilitated by MaGESpire during the Conference in accordance with paragraph 4 below.

 

“NFT Rewards” means the NFTs to be distributed by Sponsors in accordance with the rules of the NFT Airdrop Reward Scheme.

 

“Privacy Policy” means the privacy policy from time to time of MaGESpire, which may be viewed HERE.

 

“Sponsors” means the issuer and provider of the NFT Rewards to the NFT Airdrop Reward Scheme.

 

“Terms and Conditions” means the terms of these Terms and Conditions.

 

“Conference” means the Game On! 2023 conference to be hosted and organized by MaGESpire from 15th to 16th November, 2023.

 

“Website” means https://www.gameon.io/, operated and controlled by MaGESpire, and any updates, upgrades or successors websites operated and controlled by MaGESpire.

 

1.1       Section headings in these Terms and Conditions are for convenience only and shall not govern the meaning or interpretation of any provision of these Terms and Conditions. 

1.2       In these Terms and Conditions, the words importing the singular shall include the plural and vice versa unless the context under these Terms and Conditions clearly indicates the contrary.

2.         Acceptance

 

2.1       Before you attend the Conference, you must first register on our Website and provide the information requested. By proceeding to registration, you agree that:

 

(a)        (if you are an individual) you are 18 years or older;

 

(b)        you have the authority to enter into a legally binding contract with MaGESpire;

 

(c)        you are not barred under any applicable laws or contracts from entering into a legally binding contract with MaGESpire; and

 

(d)        all information and details you provide to us to register for the Conference are true, current, complete and not misleading.

 

MaGESpire reserves the right to request written confirmation regarding your authority to agree to these Terms and Conditions.

 

2.2       MaGESpire reserves the right to refuse access to any users to the  Conference if MaGESpire, in its absolute discretion, deems such refusal necessary.

 

2.3       Your registration to the Conference constitutes:

 

(a)        your acceptance of these Terms and Conditions; and

 

(b)        your undertaking to us to comply with them.

 

If you do not agree to these Terms and Conditions, you must not use our Website or attend the Conference.

 

2.4       By registering with the Website, attending the Conference or agreeing to these Terms and Conditions, you also agree and consent to our Privacy Policy. Our Privacy Policy can be reviewed HERE.

 

2.5       By registering with the Website, you consent and agree to comply with our Acceptable Use Policy (see paragraph 3 below for further details).

 

3.         Acceptable use

 

3.1       You must not (“Prohibited Acts”):

 

(a)        use our Website in any way or take any action that causes, or may cause, damage to the Website or impairment of the performance, availability or accessibility of the Website;

 

(b)        use our Website in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;

 

(c)        use our Website to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software;

 

(d)        conduct any systematic or automated data collection activities (including scraping, data mining, data extraction, or data harvesting) on or in relation to our Website without our express written consent;

 

(e)        access or otherwise interact with our Website using any robot, spider or other automated means;

 

(f)        violate the directives set out in the robots.txt file for our Website;

 

(g)        use data collected from our Website for any direct marketing activity (including email marketing, SMS marketing, telemarketing or direct mailing);

 

(h)        use data collected from our Website to contact individuals, companies or other persons or entities;

 

(i)         make the Website available to any third party through a private computer network;

(j)         edit or otherwise modify any content or paper or digital copies of any materials printed off or copied from our Website in any way;

(k)        use the Website in a manner prohibited by any laws or regulations which apply to the use of the Website;

(l)         make any offensive statements, insults, comments, or express any political views, during the Conference or in any instant messaging group organized by MaGESpire;

(m)      transmit any material that is unlawful, disruptive, threatening, profane, abusive, harassing, embarrassing, tortuous, defamatory, obscene, libelous, is hateful or racially or ethnically offensive.

3.2       You are solely responsible for your actions and conduct when attending the Conference. You must conduct yourself in a lawful and ethical manner when attending the Conference.  

3.3       You acknowledge and understand that:

(a)        any material you post or publish online (including during the Conference) may be viewed by the general public at any time after posting or publication; and

(b)        the comments, opinions and views expressed by any participants on the Websites or during the Conference do not reflect the opinion or position of MaGESpire or its employees and officers.

3.4       You must ensure that all the information you supply to us through our Website, or disclose or publish during the Conference:

 

(a)        is true, accurate, current and complete, and is not misleading;

 

(b)        complies with all applicable laws and regulations;

 

(c)        does not infringe the privacy, personal data protection, confidentiality or intellectual property rights or other rights of any person; and

 

(d)        is not offensive, abusive, pornographic, defamatory, unreliable, misleading, illegal or otherwise objectionable.

 

4.         NFT Airdrop Reward Scheme

 

4.1       MaGESpire may facilitate Sponsors to conduct a NFT Airdrop Reward Scheme in connection with the Conference.

 

4.2       Participants in the Conference may be entitled to participate in an NFT Airdrop Reward Scheme. Each participant must complete a task of skill before participation will be enabled. Any NFT Rewards under a NFT Airdrop Reward Scheme will be made to participants on a first-come-first-served basis after completion of the task of skill. Details of the required tasks to the NFT Airdrop Reward Scheme will be made available on the Website.

 

4.3       The number of available NFT Rewards is at the discretion or, and will be determined by, the Sponsors conducting the NFT Airdrop Reward Scheme.

 

4.4       The NFT Rewards will be airdropped to a wallet that you have provided when you register for the Conference, and you authorize MaGESpire to provide the wallet address details to the Sponsor conducting the NFT Airdrop Reward Scheme.

 

4.5       The NFT Rewards will be sent directly by the Sponsors to the wallet address you have provided. MaGESpire is not responsible for, and is not involved in, the delivery of NFT Rewards. You acknowledge that the Sponsors are fully responsible for ensuring that the NFT Rewards comply with all applicable laws, rules and regulations in Hong Kong and in the countries for which the Sponsors are operating. MaGESpire is not responsible for, or liable for, the failure of any Sponsors to comply with all applicable law, rules and regulations. 

 

4.6       MaGESpire does not own the NFT Rewards. MaGESpire has not made any independent due diligence and verification in respect of the NFT Rewards. MaGESpire makes no representations, warranties or guarantees in respect of the NFT Rewards.

 

4.7       You agree that MaGESpire is not liable if the Sponsor:

 

(a)        fails to airdrop the NFT Rewards at all or airdrops the NFT Rewards in a different manner to the provisions of these Terms and Conditions;

 

(b)        shortens or extends the distribution date of the NFT Reward;

 

(c)        varies the rules of participation in any NFT Airdrop Reward Scheme;

 

(d)        cancels any NFT Airdrop Reward Scheme;

 

(e)        encourages you to breach any terms of services or conditions of an external site;

 

(f)        commits to rewarding NFTs that the Sponsors do not own;

 

(g)        uses or copies images that the Sponsors do not own the copyright to;

 

(h)        impersonates any person or entity or falsely states or otherwise misrepresents your affiliation with a person or entity; or

 

(i)         in any way conducts itself in breach of applicable laws or infringes the rights (including intellectual property rights) of any third party.

 

4.8       You acknowledge and agree that, save for transferring your wallet address to the Sponsors for the purpose of distributing the NFT Rewards to you, we are not responsible or liable for the Sponsors’ use or distribution of any information you provide.

 

4.9       MaGESpire does not sponsor, administer or endorse the content of any promotion or giveaway distributed through this Website or during the Conference.

 

5.         Website linkage

 

5.1       Links from our Website to other websites and resources provided by third parties are provided for your information only. Links to other websites and resources from our Website should not be interpreted as, and are not, recommendations or approval by us of those linked websites or resources, or any information you obtain from them.

 

5.2       You acknowledge and accept that we have no right or control over the contents of other websites and resources that are linked from or referred to in our Website. 

 

5.3       You may link to the Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

 

5.4       You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

 

5.5       You must not establish a link to our Website on any website that is not owned by you.

 

5.6       Our Website must not be framed on any other website, nor may you create a link to any part of our Website other than the home page.

 

5.7       We reserve the right to withdraw linking permission without notice.

6.         Intellectual Property Rights

 

6.1       Any Intellectual Property Rights appearing in this Website, shared to you by MaGESpire or displayed in the Conferences are either owned by MaGESpire or other third parties[, which MaGESpire is authorized to share in the Conference. You shall not use these Intellectual Property Rights without the prior written consent of MaGESpire or such other third parties.

 

6.2       Unless otherwise expressly provided, we do not own the Intellectual Property Rights provided by third parties or yourself to be uploaded on the Website or shared in the Conferences. We make no representation, warranty or guarantee in respect of such Intellectual Property Rights, including whether any distribution or use of content or materials infringes the Intellectual Property Rights of another person. MaGESpire has not examined or verified any third party Intellectual Property Rights. 

 

6.3       Some content that you share or upload, such as photos or videos, may be protected by intellectual property laws. You confirm that you own the intellectual property rights in any such content that you create and share on the Website or during the Conference. Nothing in these Terms and Conditions takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want.

 

6.4       When you create and share any Intellectual Property Rights on the Website or during the Conference, you are also granting us a non-exclusive, transferable, sub-licensable, royalty-free and worldwide licence to host, use, distribute, modify, run, copy, publicly perform or display, translate and create derivative works of your content, but solely for the purpose of hosting and organizing the Conference. This licence will automatically end after [6 months] of the  Conference.

6.5       You must not edit or otherwise modify any material on our Website

 

6.6       If you print off or copy any part of our Website in breach of these Terms and Conditions, your right to use our Website will cease immediately.  You must, immediately upon our request, return or destroy any copies of the materials you have made.

 

6.7       We reserve the right to restrict access to areas of our Website, or our whole Website, at our discretion. You must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on our Website.

 

7.         Privacy

 

7.1       Our Privacy Policy can be reviewed HERE and forms part of these Terms and Conditions on which you may access and use our Website or participate in the Conference.

 

7.2       You agree that MaGESpire may collect and use personal data which you provide when registering on the Website. The use of personal data collected by us will be limited to granting you access to the Conference or allow your participation in the NFT Airdrop Reward Scheme. You agree we can share your personal data with the Sponsors for the purpose of making airdrops of the NFT Rewards to you (if applicable).

 

7.3       We use cookies on our Website. We also use cookies to track the way you prefer to view our Website. By accepting these Terms and Conditions you also give consent to our use of cookies for this purpose. More information about cookies is contained in our Privacy Policy.

 

7.4       If you provide us with your personal data, we will process that personal data in accordance with your instructions from time to time and will take appropriate security measures to protect that personal data against unauthorized and unlawful processing and against accidental loss, destruction or damage.

 

8.         Viruses

 

8.1       We do not guarantee that our Website will be secure or free from bugs or viruses.

 

8.2       You are responsible for configuring your information technology, computer programmes and platform to access our Website. You should use your own virus protection software.

 

8.3       You must not misuse our Website by knowingly introducing viruses, Trojans, worms, logic bombs or other material that is malicious or technologically harmful.

 

8.4       You must not attempt to gain unauthorized access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website.

 

8.5       You must not attack our Website via a denial-of-service attack or a distributed denial-of service attack.

 

8.6       We may report any breach to relevant law enforcement authorities, and will do so if required to do so under applicable laws.

9.1       You acknowledge, that to the maximum extent permitted by applicable law, that the Website, any materials provided to you in relation to the Website and the Conference, the Conference and the NFT Rewards are provided on an “as is” basis. Participation at the Conference and the reliance on this Website is done solely at your own risk. MaGESpire disclaims any and all warranties relating to the Conference, the Website, their content and the NFT Rewards, express or implied, including but not limited to the implied warranties of non-infringement of third party rights, merchantability and fitness for a particular purpose, if any.

 

9.2       All the information made available through on the Website, any materials distributed to you in relation to the Conference or in the  Conference is generally provided to serve as an example only, for informational or general educational purposes only, without obligation and without specific recommendations for action. The information is based on sources believed to be reliable, but to the extent permitted by the applicable law, no representation or warranty, express or implied is made as to their accuracy, completeness, timeliness, or correctness. 9.3       All views expressed during the Conference are the personal views of the respective speakers and do not represent the views of MaGESpire. MaGESpire will not assume any liability arising from or responsibility for any such views shared during the Conference. None of the information made available by MaGESpire through platforms used for the  Conference constitutes an invitation to purchase, subscribe, invest in or participate in any securities, cryptocurrencies, non-fungible tokens (NFTs) or any physical or virtual assets (whether described as investment opportunities, or otherwise).

 

9.5       We do not encourage excessive gaming. Our involvement with the Conference shall not be taken as our encouragement to participate in electronic gaming activities for a period of time that exceeds any statutory, regulatory or legal limitation. You should always participate in any electronic gaming activities, whether in connection with the Conference or not, responsibly.

 

9.6       MaGESpire only provides event management services, and any liability in respect of any other activities is expressly disclaimed.

 

10.       Liability

 

10.1     Except as required by applicable law, MaGESpire, our affiliates, officers, directors, employees and agents disclaim all liability to the maximum extent permitted by law, and we assume no responsibility, for losses to you or any other person arising from or in connection with:

 

(a)        any content submitted or shared by anyone on the Website or during the Conference;

 

(b)        any comments, opinions, statements, representations, warranties, guarantees or conditions made by anyone during the Conference;

 

(c)        any external websites that are accessible from links on our Website or shared during the Conference;

 

(d)        any Prohibited Acts committed by any participants;

 

(e)        any Sponsor’s business;

 

(f)        the NFT Airdrop Reward Scheme and any NFT Rewards that you may receive;

 

(g)        any third party content or user content; and

 

(h)        any reliance on information contained or functionality provided on, or through, these Terms and Conditions, the Website or in the Conference.

 

10.2     We will not be liable to you (whether in contract, tort (including negligence), breach of statutory duty or otherwise) arising out of or in connection with these Terms and Conditions for any loss of profits, loss of business opportunity, loss of goodwill, loss of anticipated savings or benefits, or for any type of indirect, special or consequential loss, even if that loss or damage was reasonably foreseeable or the relevant party was aware of the possibility of that loss or damage arising.

 

10.3     Except to the extent that claims cannot be excluded or restricted by law, no claims arising out of or in connection with these Terms and Conditions may be brought by you personally against any of our employees, officers, consultants or other representatives involved in the performance of the relevant obligations.

12.1 We subcontract the hosting of the Website to a third party.

12.2 These Terms and Conditions are for our benefit and your benefit, and are not intended to benefit or be enforceable by any third party.

13.1 These Terms and Conditions, their subject matter and their formation (and any non-contractual disputes or claims) are governed by and construed in accordance with the laws of Hong Kong.

13.2 Any dispute, controversy, difference or claim (including non-contractual disputes or claims) arising out of or relating to these Terms and Conditions, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law). The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
